Terms & Conditions

Last updated August 14, 2026

These Terms & Conditions ("Terms") are a binding agreement between you and Palo Santo Consulting Pvt Ltd ("kioku", "we", "us", or "our") governing your access to and use of the kioku mobile application and related services (the "Service"). Please read them carefully.

By creating an account, or by downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, and legally able to enter into a binding contract, to use the Service. By using the Service you represent that you meet these requirements.

If you use the Service on behalf of a family or household, you represent that you are authorized to accept these Terms on behalf of each person whose information you add, and that you have obtained any consent required by law before adding another person’s documents or personal data.

2. The Service

kioku is a private vault that lets you store documents, images, passwords, PINs, and related attachments; organize them by category and profile; and receive reminders before items expire. You may add documents by scanning them, choosing an existing photo, or importing a file from a cloud storage provider (such as Google Drive, Dropbox, or iCloud) via your device's file picker. Features vary by plan and by platform, and may change, be added, or be removed over time.

The Service is provided as a convenience tool for personal document management. It is not a system of record, a legal or governmental registry, a professional record-keeping service, or a substitute for maintaining your own originals and backups of important documents.

Some features use automated tools — including AI-assisted scanning that reads details such as an expiry date from a photo you capture or import, and automatic recurrence of monthly/yearly reminders. These tools are provided for convenience and may misread, omit, or miscalculate information. You are responsible for reviewing and, where needed, correcting any auto-filled or auto-scheduled details before relying on them.

3. Your Account & Security

You are responsible for maintaining the confidentiality of your account credentials and encryption password, and for all activity that occurs under your account. You agree to use a strong, unique password and to keep it secret.

You must notify us promptly at info@palosantoconsulting.com if you suspect any unauthorized access to your account. We are not liable for any loss arising from your failure to safeguard your credentials, your device, or your biometric/passcode locks.

4. Zero-Knowledge Encryption & Risk of Permanent Data Loss

kioku uses zero-knowledge, end-to-end encryption for document images, passwords, PINs, and attachments. Your content is encrypted on your device with a key derived from your password before it is uploaded, and our servers store only ciphertext. We do not have access to your password or to the plaintext of your encrypted content, and we cannot read, recover, reset, or decrypt it for you.

THIS MEANS: IF YOU FORGET OR LOSE YOUR PASSWORD, OR LOSE ACCESS TO YOUR DEVICE AND ANY RECOVERY MECHANISM YOU HAVE SET UP, YOUR ENCRYPTED CONTENT MAY BECOME PERMANENTLY AND IRRECOVERABLY INACCESSIBLE. This is an inherent and intended property of zero-knowledge encryption, not a defect.

You are solely responsible for remembering your password, for keeping your own separate backups and originals of important documents, and for configuring available safeguards (such as a nominee). To the maximum extent permitted by law, we are not liable for any loss of, or inability to access, your content resulting from lost credentials, lost devices, or the nature of the encryption.

5. Your Content & Ownership

You retain all rights in the documents, images, and other content you add to the Service ("Your Content"). We claim no ownership of Your Content.

You grant us a limited, non-exclusive license to store, transmit, back up, and otherwise process Your Content (in encrypted form where the Service encrypts it) solely to the extent necessary to operate and provide the Service to you. This license ends when you delete the content or your account, subject to routine backup retention and legal-retention requirements.

You represent that you have the necessary rights to store Your Content and that it does not infringe the rights of, or violate any law applicable to, any third party.

6. Nominee & Emergency ("Break-Glass") Access

Certain plans let you designate a trusted person (a "nominee") who may request time-delayed emergency access to your content. This is a technical convenience feature. You are solely responsible for choosing a trustworthy nominee, and we are not responsible for a nominee’s use, misuse, or disclosure of any content they lawfully access through the feature.

The nominee / emergency-access feature is NOT a will, trust, power of attorney, estate plan, or other legal instrument, and it does not transfer legal ownership of or rights to your content or accounts. It may not satisfy the legal requirements for post-death or incapacity access to digital assets in your jurisdiction. Consult a qualified attorney for estate and incapacity planning; do not rely on this feature as a substitute.

We do not verify the identity, authority, death, or incapacity of any party to an emergency-access request beyond the technical safeguards described in the app, and we disclaim liability for access granted or denied through the feature to the maximum extent permitted by law.

7. Reminders Are a Convenience and Are Not Guaranteed

Expiry reminders, notifications, and calendar entries are provided as a convenience, and may be delivered by push notification, email, and — if you add a phone number in Settings — WhatsApp. Their delivery depends on factors outside our control, including your device settings, operating system, notification permissions, network connectivity, third-party push, email, and messaging services (including WhatsApp, which is provided by Meta Platforms, Inc. and subject to its own terms), and the accuracy of the dates you enter or that are auto-filled by scanning.

We do not guarantee that any reminder will be generated, delivered, or received on time or at all. You are solely responsible for tracking and meeting your own deadlines, renewals, and legal or financial obligations. To the maximum extent permitted by law, we are not liable for any missed deadline, lapse, penalty, fee, loss, or other consequence arising from a reminder that was not delivered, was delivered late, or was inaccurate.

8. Subscriptions, Billing & Auto-Renewal

kioku offers a free tier and paid subscription plans (currently "Pro" and "Max"), as described on the plans screen. Paid plans are sold as in-app purchases and are billed by, and processed through, the Apple App Store or Google Play (the "App Stores"), not directly by us. Current prices, billing periods, and any introductory or promotional terms are shown at the point of purchase.

Auto-renewable subscriptions renew automatically at the then-current price for the same period unless you turn off auto-renew at least 24 hours before the end of the current period. Your App Store account is charged for renewal within 24 hours prior to the end of the current period. You can manage or cancel your subscription, and turn off auto-renew, in your App Store or Google Play account settings.

Any unused portion of a free trial, where offered, is forfeited when you purchase a subscription. You are responsible for all applicable taxes.

9. Refunds

Because subscriptions are billed by the App Stores, all payments, cancellations, and refunds are handled by Apple or Google and are subject to their policies. We generally do not, and often cannot, issue refunds directly. To request a refund, use the refund process of the App Store through which you purchased.

Except where a non-waivable refund or cancellation right is granted to you by applicable consumer-protection law, purchases are non-refundable and there are no refunds or credits for partially used periods.

10. Price and Plan Changes

We may change our prices, plans, and the features included in each plan. For auto-renewing subscriptions, price changes apply to renewals after the change and are subject to any notice and consent requirements imposed by the App Stores and by applicable law. If you do not agree to a price change, you may cancel before it takes effect.

We may add, modify, or discontinue features, including moving a feature between plans. We will not reduce the core functionality of a plan you have already paid for during your current paid period in a way that materially deprives you of what you paid for, except as required for security, legal, or technical reasons.

11. Third-Party Services & App Stores

The Service relies on third-party providers, including the App Stores, cloud hosting and database providers, push-notification services, an email delivery provider, a WhatsApp messaging provider, an AI provider used to read details from scanned or imported documents, and subscription-management providers. Importing a file also relies on your device's operating system and any cloud storage app you use (such as Google Drive, Dropbox, or iCloud) to select the file — we do not connect to or access your account with those providers beyond the single file you choose. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, availability, or content.

These Terms are between you and Palo Santo Consulting Pvt Ltd only, not with Apple or Google. Apple and Google are not responsible for the Service or its content and have no obligation to provide support or maintenance for it. Where you obtained the app through an App Store, that App Store and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or to store content you have no right to store; (b) store content that is illegal, infringing, or that you are contractually or legally prohibited from copying; (c) attempt to breach, probe, or circumvent the Service’s security, encryption, or access controls, or access another user’s data; (d) reverse engineer, decompile, or extract source code except to the extent this restriction is prohibited by law; (e) interfere with or disrupt the Service or the servers or networks that support it; or (f) use the Service to build a competing product or to resell access.

We may investigate and take appropriate action, including suspending or terminating accounts, for suspected violations. Because your content is encrypted and we cannot read it, enforcement of content-based rules generally depends on reports and on information we can lawfully access.

13. Privacy & Data Protection

Our collection and use of personal information is described in our Privacy Policy. By using the Service you consent to that processing. Where applicable law (such as India’s Digital Personal Data Protection Act, 2023, the GDPR, or comparable laws) grants you rights over your personal data, we will honor those rights as required.

Because we operate on a zero-knowledge basis for encrypted content, we cannot produce the plaintext of that content in response to a data-subject request, a legal request, or otherwise; we can only act on the metadata and account information actually available to us.

14. Encryption & Export Compliance

The Service incorporates strong cryptography. Some countries regulate or restrict the import, use, or export of encryption technology. You are responsible for complying with all laws applicable to you, and you represent that you are not located in, and will not use the Service in, a jurisdiction where such use is prohibited, and that you are not subject to any sanctions or export-control restrictions that would make your use unlawful.

15. Intellectual Property

The Service, including its software, design, branding, logos, and content we provide (but excluding Your Content), is owned by Palo Santo Consulting Pvt Ltd or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.

16. No Professional Advice

The Service, including any information surfaced by the in-app assistant, does not provide legal, financial, tax, insurance, medical, or other professional advice, and must not be relied upon as such. Reminders and categorizations are informational only. Consult a qualified professional for advice about your specific situation.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or available at any particular time; that reminders will be delivered; that data will never be lost or corrupted; or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALO SANTO CONSULTING PVT LTD AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF ACCESS TO CONTENT, MISSED DEADLINES OR RENEWALS, LOST PROFITS, OR LOST GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for death or personal injury caused by negligence, fraud, or a party’s wilful misconduct).

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Palo Santo Consulting Pvt Ltd and its owners, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, your violation of any law, or your infringement of any third party’s rights, including in connection with content you store or another person whose data you add.

20. Suspension & Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if required by law or an App Store, or to protect the Service or other users.

On termination, your license to use the Service ends and we may delete your account and content, subject to routine backups and legal-retention requirements. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

21. Changes to the Service and These Terms

We may modify these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as in-app notice or by updating the "Last updated" date. Changes are effective when posted unless a later effective date is stated or a longer notice period is required by law. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service.

22. Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to them or the Service are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules.

Subject to the dispute-resolution section below, the courts at Bengaluru (Bangalore), Karnataka, India have exclusive jurisdiction, except where mandatory consumer-protection laws of your place of residence entitle you to bring proceedings elsewhere.

23. Dispute Resolution & Arbitration

Please contact us first at info@palosantoconsulting.com so we can try to resolve any dispute informally. Most concerns can be resolved this way, and either party must attempt good-faith resolution before commencing formal proceedings.

Any dispute not resolved informally within 30 days will be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration will be Bengaluru (Bangalore), Karnataka, India, the language will be English, and the arbitrator’s award will be final and binding. Each party bears its own costs unless the arbitrator directs otherwise.

Nothing in this section prevents either party from applying to the courts at Bengaluru (Bangalore), Karnataka, India for urgent interim or injunctive relief (for example, to protect intellectual property or prevent unauthorized access). This section does not limit any non-waivable right you have as a consumer under the Consumer Protection Act, 2019, including the right to approach the appropriate consumer dispute redressal commission, or any non-waivable right under the law of your place of residence.

24. Force Majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility failures, or failures of third-party providers or App Stores.

25. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted.

Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may provide notices to you through the Service or the email associated with your account.
